Subject: Clarification regarding the shares owned by former shareholder Ayman Hariri in Saudi Oger Limited.

Greetings,

With reference to the above-mentioned subject, we present this letter with a statement and clarification regarding the shares formerly owned by Ayman Rafiq Hariri. On 07 April 2014, Ayman Rafiq Hariri sold all of his shares in Saudi Oger Limited subject to the amended Articles of Association signed by all shareholders and attested by the notary at the Ministry of Commerce on 21/07/1435H. Thus, at that time, Ayman Rafiq Hariri, exited the company, and he was released from all rights and obligations arising from those shares, and from any managerial liabilities against the company, its activities, and its investments.

Since then, Ayman Rafiq Hariri has had no managerial or operational responsibilities at the company.

This letter has been presented in accordance with the company shareholders request, without any liability against our company and/or its employees and based on the available documents and official records of the company.
